Change Registration of Foreign-Funded Partnership Enterprises Branches

1. It is required to provide: 

(1) "Application Form for Registration of Alteration of Branch Offices of Unincorporated Enterprises (Application Form for Recordation of Branch Offices of Unincorporated Enterprises)" : 1 (one) original (Please refer to the instructions on the application form for filling requirements)

(2) Decision letter made by the subordinate enterprise according to law: 1 (one) original

(3) The business license: 1 (one) original , 1 (one) photocopy of the duplicate;(If the paper-based business license has been obtained, its original and duplicate shall be returned. (Allow for supplement afterwards)) 

(4) The business license of the subordinate partnership enterprise business license: 1 (one) photocopy (Only applicable if the branch office alteration is submitted due to modifications in the registration items of the subordinate partnership enterprise (such as name and business scope))

2. The following materials shall be provided for the alteration of business premises:

(1) 1  (one) original of the certification of use of the altered main business premises shall be submitted (The chosen company domicile shall be a legal building with a property ownership certificate, and the uses of the building stated on property ownership certificate should be honest. (Allow for supplement afterwards))

3. For the alteration of the principal, the following materials shall be provided:

(1) Authorization letter signed by all partners or decision on appointment and removal made according to the partnership agreement: 1 (one) original

(2) The principal's identity certificate: 1 (one) photocopy (Paste it on the application form (allow for supplement afterward)) 

4. The following materials shall be provided for the alteration of business scope:

(1) If laws, administrative regulations or decisions of the State Council stipulate that the registration of change of business scope of the branch offices shall be submitted for approval, 1 (one) original of the approval documents shall be provided.

Foreign-invested enterprises that have altered their authority and organizational structure in accordance with relevant provisions of the Foreign Investment Law shall refer to company and partnership registration regulations to submit materials (the notarial document for the certification of eligibility status, the letter of authorization on delivery of legal documents and other documents shall comply with relevant provisions).
